Terms & Conditions

These Terms and Conditions apply to the use of the Biling mobile application, user accounts, translation services, subscriptions, and token purchases.

Biling may in particular be made available via the Apple App Store, Google Play, or other platforms. The terms and conditions of the respective platform operator may additionally apply to downloads, purchases, payment processing, subscription management, and refunds.

Depending on the platform and transaction, the platform operator may in particular act as an intermediary, seller, merchant of record, or payment service provider. The allocation of roles applicable to the respective purchase is determined by the purchase process and the purchase confirmation.

For apps obtained through the Apple App Store, Apple’s applicable standard End User License Agreement additionally applies unless a separate End User License Agreement has been agreed. For Google Play, the applicable platform terms additionally apply.

These Terms and Conditions govern in particular the contractual relationship with Conformitas Legal GmbH regarding the Biling user account and the functions provided by Biling. Mandatory platform terms and statutory consumer rights remain unaffected.

Biling is an automated live translator for spoken language. The app can capture speech, transcribe it, translate it, and provide translations as text and/or speech output.

The scope of functions, supported languages, and technical features are determined by the current version and the features specified for the respective plan.

Certain functions may in particular require an internet connection, a compatible device, the current version of the app, and microphone access. Biling may use specialized service providers for the technical provision of the service.

A user account may be required for use. Users must provide accurate information and adequately protect their login credentials. The account is generally personal and may not be sold or permanently made available to other persons for their own use without express authorization.

Minors may enter into paid contracts only if they are legally entitled to do so or if any required consent from their legal representatives has been obtained.

During live translation, audio data is technically processed in order to recognize, transcribe, and translate speech.

Biling does not permanently store audio data from live translations. It is processed only to the extent necessary for translation and for the technical transmission and processing required for this purpose.

Transcriptions, translations, and necessary context may be processed insofar as this is necessary for service provision, security, error analysis, or technically required quality assurance and is legally permissible. Biling does not use conversation content to create personalized advertising profiles.

The user is responsible for using Biling only in a lawful manner. In particular, the user must ensure that the recording, processing, and transmission of conversations is permitted and that other participants in the conversation are informed where necessary or that any required consent has been obtained.

Biling may not be used secretly to process non-public conversations in violation of applicable laws or the rights of other persons.

Further information on the processing of personal data is provided in Biling’s Privacy Policy.

Biling uses automated speech, translation, and AI technologies. Transcriptions and translations may contain errors, in particular due to pronunciation, dialects, background noise, audio quality, ambiguities, proper names, or lack of context.

Biling provides an automated translation service but does not guarantee error-free human interpreting services.

Translations should be reviewed before users rely on them in situations involving significant consequences. In particular, Biling is not intended to be used, without additional verification, as the sole basis for medical emergencies, legally binding declarations, or decisions with similarly significant consequences.

Biling may be used for private and professional purposes. Unless expressly agreed otherwise, the following in particular are not permitted:

• unlawful use or infringement of third-party rights;
• sale or unauthorized transfer of user accounts;
• manipulation of tokens, billing, or usage limits;
• unauthorized scraping, mass access, or circumvention of technical protection measures;
• automated integration of Biling into the user’s own products or services;
• resale of the translation service;
• systematic use for the development or training of a competing speech, translation, or AI service.

Reverse engineering, decompilation, or comparable analysis is prohibited only to the extent that it is not mandatorily permitted by law.

Paid translation functions are billed on the basis of tokens. Tokens are technical units of usage and are neither legal tender, bank balances, nor an independent means of payment.

Token consumption is based on the actual technical processing and may in particular take into account audio input, transcription, translation, and output.

The number of tokens used or available is decisive for the usage allowance.

Where Biling displays an estimated number of translation minutes, this is provided solely for guidance and does not constitute a guaranteed conversation or usage duration. Actual usage time may depend in particular on the language, amount of text, speaking speed, and technical processing.

The product, price, and usage allowance are displayed before any paid purchase. Changes to the method used to calculate an estimated number of minutes do not alter tokens that have already been credited.

Biling may provide new user accounts with free starting credit. The credit currently envisaged corresponds to approximately five minutes of live translation under typical usage; this is only an estimate in accordance with Section 5.

Additional free tokens may be provided as part of promotions, vouchers, or referral programs.

Free credit is not a paid purchase and is not a trial subscription. Once it has been used up, a paid subscription does not automatically begin.

Free tokens may be subject to an expiry period or conditions if this is communicated when they are granted. They are generally non-transferable and cannot be redeemed for cash.

Biling may withdraw free tokens if they were obtained, in particular, as a result of technical errors, manipulation, abusive multiple registrations, or in violation of promotional conditions.

Biling offers monthly subscriptions. The price and included usage allowance are displayed before the subscription is concluded.

For each paid monthly billing period, the user receives the number of subscription tokens provided for their plan.

Unused subscription tokens may be carried over to the immediately following monthly billing period. Any unused tokens from that credit expire at the end of that following billing period.

The initial term of a monthly subscription is one month. Thereafter, it continues for an indefinite period and is billed monthly until canceled.

The renewed subscription may be canceled at any time with a notice period of no more than one month. More favorable cancellation rules of the respective app store remain unaffected.

A billing period that has already been paid for may generally be used until its end. At the end of the final paid billing period, the subscription usage allowance ends and any remaining subscription tokens expire.

Subscription tokens generally cannot be redeemed for cash or transferred unless there is a statutory entitlement to do so.

App store subscriptions may in particular be canceled through the subscription management functionality provided by the respective app store. Merely deleting the app does not terminate a subscription.

Likewise, deleting the Biling account does not necessarily technically stop a recurring payment managed by an app store. Before account deletion, users will therefore be informed of any app store subscription that may still be active. Legally effective cancellation notices remain unaffected.

Subscription tokens and free tokens constitute separate usage allowances.

Where there are multiple subscription token credits, the tokens with the earliest expiration date are generally consumed first.

A separate consumption rule may be specified for free tokens when they are granted. Free credit with an earlier expiration date may in particular be consumed before subscription tokens.

The applicable prices, products, and usage allowances are displayed before purchase. Final prices shown to consumers include applicable statutory taxes unless otherwise required by law.

For app store purchases, completion of the transaction is governed by the ordering, payment, and confirmation process of the respective app store. The party applicable to the specific transaction is determined in particular by the purchase process, purchase confirmation, and invoice.

Payment processing, payment methods, subscription management, and, where applicable, refunds may be handled by the respective platform operator or payment service provider.

Biling may change prices, plans, and usage allowances for future purchases. Purchases already paid in full and tokens already credited are not retroactively changed as a result.

Changes to ongoing subscriptions apply only to future billing periods and only in compliance with statutory requirements and, where applicable, platform requirements. Where consent is required, the change becomes effective only after valid consent has been provided.

If a change cannot validly be implemented without consent, Biling may terminate the existing subscription subject to the applicable notice period and offer a new plan.

Consumers are entitled to statutory rights of withdrawal where the relevant requirements are met.

The required information regarding the right of withdrawal and, where applicable, the statutory model withdrawal form will be provided separately before the contract is concluded.

Where required by law, Biling provides an electronic withdrawal function in accordance with statutory requirements.

For purchases made through an app store, withdrawal, cancellation, and refund procedures may additionally, or in accordance with the applicable allocation of roles, be handled through the procedures of the platform operator. Statutory consumer rights are not restricted as a result.

If a consumer expressly requests that performance begin before the expiration of an existing withdrawal period, the consequences of any subsequent withdrawal are governed by statutory provisions.

If a token purchase is validly reversed, any unused tokens from that purchase may be removed.

Biling endeavors to provide a high level of availability but, unless expressly agreed otherwise, does not guarantee uninterrupted availability at all times.

Restrictions may arise in particular from maintenance, security measures, updates, network or internet outages, operating systems, app stores, and technical service providers.

Biling provides required updates, including security updates, during the period prescribed by law. Users should install required updates within a reasonable period.

Biling may modify or adapt functions of continuously supplied digital services for a valid objective reason, provided that statutory requirements are complied with. Such reasons may include, in particular, legal or regulatory requirements, security, abuse prevention, bug fixes, technical developments, and changes to operating systems, app store requirements, or technical infrastructure.

Such changes will not result in additional costs for the user unless otherwise agreed. Where changes cause more than a minor adverse effect, consumers will be informed in accordance with statutory requirements. Statutory rights remain unaffected.

Biling, including its software, user interface, design, trademarks, logos, and proprietary technical content, is protected by law.

For the duration of their respective right of use, users are granted a non-exclusive, generally non-transferable right to use Biling in accordance with the contract on compatible devices.

Biling does not claim ownership or exclusive rights of use in conversation content or translations generated for the user.

The user grants Biling the non-exclusive rights necessary to transmit, temporarily store, technically process, transcribe, translate, convert, and reproduce content provided by the user within the service.

To the extent legally permissible and necessary for the respective purpose, this also includes technical processing for security, troubleshooting, abuse prevention, quality assurance, and further development of the service. Regardless of the foregoing, the processing of personal data is governed by applicable data protection law and the Privacy Policy.

Fully anonymized or aggregated technical information that does not relate to an identifiable person may in particular be used for analytics, security, statistics, and further development.

Biling may use voluntarily submitted feedback free of charge for the improvement and further development of Biling to the extent permitted by law, unless otherwise agreed.

For consumers, the statutory provisions governing digital products and statutory rights in the event of non-conforming supply apply.

The normal technical limitations of automated speech and translation systems and individual translation errors do not, by themselves, constitute a defect. Relevant considerations include in particular the agreed description of the service and the legitimate expectations applicable to an automated live translator.

Conformitas Legal GmbH has unlimited liability in cases of intent and gross negligence, culpable injury to life, limb, or health, under the German Product Liability Act, on the basis of expressly assumed guarantees, and in other cases where liability is mandatory by law.

In the event of a slightly negligent breach of a material contractual obligation, liability is limited to the damage that is typical for the contract and foreseeable at the time the contract was concluded. Material contractual obligations are obligations whose fulfillment is necessary for the proper performance of the contract and on compliance with which the user may regularly rely.

In all other respects, liability for slight negligence is excluded to the extent permitted by law. The limitations of liability apply correspondingly for the benefit of legal representatives, employees, and agents.

Mandatory statutory rights remain unaffected.

Biling may temporarily restrict access in whole or in part where there are concrete indications of substantial or repeated breaches of contract or law, fraud, misuse, manipulation of billing or security mechanisms, or significant security risks.

Where possible and reasonable, the user will be informed in advance and, in the case of remediable violations, given an opportunity to remedy the violation. In cases of urgent security issues, specific suspicion of fraud, or serious legal violations, immediate suspension may occur.

In the event of serious or repeated violations, the right to terminate the contract without notice for good cause remains reserved.

Biling may terminate an ongoing monthly subscription with one month’s notice unless a longer notice period is required by law.

Users may delete their Biling user account using the functionality provided for this purpose. Before final deletion, users will be informed that tokens associated with the account can no longer be used afterward and generally cannot be restored.

If, despite this notice, the user voluntarily confirms permanent account deletion, usage allowances associated with the account, including any remaining tokens, will become unusable upon completion of the deletion and generally cannot be restored unless mandatory law provides otherwise.

Account deletion does not, in itself, create any entitlement to payment for unused tokens. Statutory repayment, refund, and other consumer rights remain unaffected.

Notwithstanding account deletion, data may continue to be stored where Biling is legally required or permitted under data protection law to do so, in particular due to statutory retention obligations or for the establishment, exercise, or defense of legal claims.

Biling may amend these Terms and Conditions for future contracts.

Changes affecting existing contractual relationships will be made only where there is an objective reason for doing so and statutory requirements are complied with. Where the user’s consent is required, changes will become part of the contract only after valid consent has been given.

The laws of the Federal Republic of Germany apply, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). For consumers whose habitual residence is in another country, mandatory consumer protection provisions of that country remain unaffected.

The statutory rules on jurisdiction apply to consumers.

Conformitas Legal GmbH is neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board unless there is a statutory obligation to do so.

If, when entering into the contract, the user acts in the course of their trade, business, or self-employed professional activity, they are considered an entrepreneur within the meaning of Section 14 of the German Civil Code (BGB). Provisions applying exclusively to consumers do not apply to such users.

Business users are responsible for ensuring compliance, when using Biling, with the statutory, data protection, employment law, professional, and contractual requirements applicable to them and for ensuring that all necessary rights, legal bases, consents, and information requirements are in place.

Where necessary, data processing agreements or other data protection agreements must be concluded separately.

A business user shall indemnify Conformitas Legal GmbH against justified third-party claims arising from the business user’s culpably unlawful use of Biling or culpable breach of the above obligations. To the extent permitted by law, this includes reasonable and necessary legal defense costs. Biling will inform the business user of such claims and provide a reasonable opportunity to participate in the legal defense.

If the user is a merchant, a legal entity under public law, or a special fund under public law, Darmstadt shall, to the extent permitted by law, be the exclusive place of jurisdiction. Biling may also bring proceedings against the user at the user’s general place of jurisdiction.

If individual provisions of these Terms and Conditions are invalid or do not become part of the contract, the validity of the remaining provisions remains unaffected. The applicable statutory provisions shall apply in place of the invalid provisions.
